Terms and Conditions

Company: OrbitStaff Pro (“Company,” “We,” “Us”)
Client: (“You,” “Your”)

These Terms and Conditions govern the outsourcing and staffing services provided by OrbitStaff Pro to its clients. By engaging our services, you agree to the following:
1. Scope of Services
  • OrbitStaff Pro will provide outsourcing and staffing solutions, including but not limited to administrative support, customer service, dispatch, reservations, accounting, IT, and other operational support as agreed with the Client.
  • The Client acknowledges that the Company assigns personnel (“Employees”) to perform the services under the Company’s management and supervision.
2. Compensation and Payment Terms
  • All payments for services rendered by Employees must be made directly to OrbitStaff Pro.
  • The Client shall not pay Employees directly under any circumstance.
  • OrbitStaff Pro is solely responsible for disbursing compensation to its Employees.
  • Any breach of this clause (e.g., direct payments, disclosure of salaries to Employees) may result in immediate termination of the agreement.
3. Confidentiality
  • The Client agrees not to disclose any Employee’s compensation, benefits, or contractual terms.
  • Both parties shall treat all shared information, including client data, business processes, and Employee details, as strictly confidential.
  • Confidential information may not be shared with third parties without prior written consent.
4. Employment Relationship
  • Employees provided by OrbitStaff Pro remain under the employment of the Company and are governed by the labor laws of the Republic of the Philippines.
  • Nothing in this Agreement shall be construed as creating an employer-employee relationship between the Client and the Employees.
5. Non-Solicitation & Non-Poaching
  • During the term of this Agreement and for a period of 12 months after termination, the Client agrees not to:
  • Directly hire, solicit, or engage any Employee provided by OrbitStaff Pro.
  • Induce any Employee to terminate or breach their contract with OrbitStaff Pro.
  • Any violation of this clause will subject the Client to a placement fee equivalent to twelve (12) months of the Employee’s agreed monthly rate.
6. Liability and Indemnity
  • OrbitStaff Pro will exercise reasonable care in providing qualified Employees.
  • The Company shall not be liable for indirect, incidental, or consequential damages arising from the Client’s use of the services.
  • The Client agrees to indemnify and hold OrbitStaff Pro harmless against any claims, damages, or expenses arising from misuse of the services.
7. Termination
  • Either party may terminate this Agreement with 30 days’ written notice.
  • OrbitStaff Pro may terminate immediately in the event of:
  • Breach of payment terms.
  • Direct payments or salary disclosure to Employees.
  • Violation of confidentiality or non-solicitation provisions.
8. Governing Law
  • This Agreement shall be governed and interpreted under the laws of the Republic of the Philippines, without regard to conflict of law principles.
9. Amendments
  • OrbitStaff Pro reserves the right to amend these Terms and Conditions with prior written notice to the Client. Continued use of services constitutes acceptance of the updated terms.
10. Entire Agreement
  • This document, together with the Service Agreement or Service Order signed between the parties, constitutes the entire agreement and supersedes all prior discussions or representations.
